Confidentiality

1. Overview
Commerci understands that product sourcing, supplier relationships, and business strategies involve sensitive and confidential information. This page describes how we treat confidential information when you share it with us—whether through our website, in discussions, or in the course of an engagement. For specific engagements, we may enter into a separate non-disclosure or confidentiality agreement ("NDA") with you; the terms of that agreement will apply to the extent they differ from this page.
2. What We Treat as Confidential
We treat as confidential any information you share with us that is not publicly available and that a reasonable person would consider sensitive in a business context. This may include, without limitation:
- Product designs, specifications, and development plans.
- Business strategies, volumes, pricing expectations, and timelines.
- Supplier lists, manufacturing partners, and supply chain details.
- Technical, financial, or commercial data you provide in connection with a sourcing enquiry or engagement.
- Any information you clearly mark or describe as confidential.
3. Our Obligations
When you share confidential information with us, we will:
- Use it only for the purpose of providing our sourcing and supply services to you or as otherwise agreed.
- Not disclose it to third parties without your consent, except where necessary to perform our services (e.g. sharing relevant details with potential suppliers under appropriate confidentiality) or where required by law.
- Apply reasonable measures to protect it from unauthorised access, use, or disclosure.
- Require our personnel and any sub-contractors or agents who need access to your information to keep it confidential.
4. Exceptions
Our confidentiality obligations do not apply to information that: (a) was already known to us without restriction before you shared it; (b) is or becomes publicly available through no fault of ours; (c) we receive from a third party who had the right to disclose it; or (d) we develop independently without using your confidential information. We may also disclose information where required by law or by a court or regulatory authority, to the minimum extent necessary and, where permitted, after giving you notice.
5. Sharing with Suppliers
To identify and evaluate suppliers or to coordinate production, we may need to share certain information (e.g. product type, volumes, quality requirements) with manufacturers or other parties. We will only share what is reasonably necessary and will seek to ensure that such parties understand the confidential nature of the information where appropriate. You can discuss with us any sensitivities before we share details with third parties.
6. Retention and Return
We retain confidential information for as long as needed to provide our services and to comply with our legal and professional obligations. On request or at the end of an engagement, we can return or securely destroy documents and materials you have provided, subject to our need to keep copies where required by law or for legitimate business purposes.
7. Separate NDAs
For particular projects or relationships, we are happy to enter into a formal non-disclosure or confidentiality agreement that sets out specific terms (e.g. duration, permitted use, and return of materials).
